Clean-up Periods. Employees will be allowed an appropriate personal cleanup period prior to lunch, if necessary, and the end of the work shift, as determined by the supervisor.
Clean-up Periods. A reasonable amount of time shall be provided to allow employees to clean up before the meal break and before the end of the work day.
Clean-up Periods. Maintenance employees and other employees who become dirty from the work environment shall be allowed up to ten (10) minutes immediately prior to the end of each half of any shift for the purpose of personal clean up. Those ten (10) minutes shall be paid at the employee's prevailing rate.
Clean-up Periods. At any time during a Clean-Up Period for the acquisition of a PC Acquisition Target, notwithstanding any other provision of any Finance Document:
(a) any breach of an applicable Clean-Up Representation or a Clean-Up Undertaking; or
(b) any Event of Default constituting an applicable Clean-Up Default, will be deemed not to be a breach of representation or warranty, a breach of covenant or an Event of Default (as the case may be) if:
Clean-up Periods. At any time during a Clean-Up Period for the acquisition of a PC Acquisition Target, notwithstanding any other provision of any Finance Document:
(a) any breach of an applicable Clean-Up Representation or a Clean-Up Undertaking; or
(b) any Event of Default constituting an applicable Clean-Up Default, will be deemed not to be a breach of representation or warranty, a breach of covenant or an Event of Default (as the case may be) if:
(i) it would have been (if it were not for this Clause 28.21) a breach of representation or warranty, a breach of covenant or an Event of Default only by reason of circumstances relating exclusively to that Permitted Acquisition Target or (if applicable) any other member of its PC Acquisition Target Group (or any obligation to procure or ensure in relation to that PC Acquisition Target or other member of its PC Acquisition Target Group);
(ii) it is capable of remedy and reasonable steps are being taken to remedy it;
(iii) the circumstances giving rise to it have not been procured by or approved by the Parent or any Group Company that is not that PC Acquisition Target or (if applicable) a member of its PC Acquisition Target Group; and
(iv) it does not have and is not reasonably likely to have a Material Adverse Effect. If the relevant circumstances are continuing on or after the Clean-Up End Date, there shall be immediately be a breach of representation or warranty, breach of covenant or Event of Default, as the case may be, notwithstanding the above (and without prejudice to the rights and remedies of the Finance Parties).

Clean-up Periods. (a) Notwithstanding anything to the contrary, the Borrower shall reduce the outstanding principal balance of the Revolving Advances to not more than $1,500,000.00, and at all times maintain said balance for a period of 30 consecutive days during the period from July 1 of each year through September 30 of each year.
(b) Notwithstanding anything to the contrary, the Borrower shall reduce the outstanding principal balance of the Seasonal Term Note to $0.00, and at all times maintain said balance commencing on April 1 of each year and continuing through and until April 30 of each year.
Clean-up Periods. The Agency will provide a reasonable amount of time, dependent upon the nature of work performed, for employees to personally clean up prior to the lunch period and at the end of the workday.
