Clearing. The Original Parties and the Taiwanese Paying Agent further agree that any NTD Notes issued under the Programme will be cleared and settled through TDCC in accordance with normal Taiwanese market practices for New Taiwan Dollar-denominated debt securities. The Principal Agency Agreement shall be construed accordingly.
