Common use of Client Consents Clause in Contracts

Client Consents. Customer authorizes Ascentis to access, collect, modify, process, transfer, or otherwise use data transmitted by Client to Ascentis (“Client Data”) to provide the Services. Client represents and warrants that (i) Client has received the consent necessary to collect and provide the Client Data to Ascentis, and that Client has no reason to believe Client may not do so, (ii) Client is only transmitting Client Data to Ascentis which is necessary for Ascentis to provide the Services to Client, and (iii) the Client data, or Client’s transmission of the Client data, does not violate (a) Client’s obligations to a third party or (b) any laws or regulations.
