Common use of Client Data Transmission Clause in Contracts

Client Data Transmission. It is Client’s sole responsibility to monitor Client Data to be transmitted to the SaaS Service to ensure that Client Data is properly transmitted. Client will notify Smarsh of any delivery failures or outages of its systems which may affect the transmission of Client Data. It is Client’s responsibility to encrypt data sent to Smarsh and Smarsh is not responsible or liable for any data which Client transmits to Smarsh in an unencrypted format. Smarsh is not responsible or liable for any update, upgrade, patch, maintenance or other change which affects the transmission of Client Data to the SaaS Service. It is Client’s responsibility to ensure that Smarsh is notified of all Units to be archived.
