Common use of Client Dependencies Clause in Contracts

Client Dependencies. The Client acknowledges that Delaware's performance is dependent on the Client's performance of the responsibilities identified as being those of the Client set out in this Agreement and/or as may be set out or referred to in any Statement of Work and on timely decisions and approvals by the Client. In addition to its other obligations under this Agreement and/or any Statement of Work, the Client shall perform the following Dependencies in a timely manner at no charge or cost to Delaware. Where reasonably required by Delaware, the Client shall provide: 6.2.1 reasonable access to office facilities including space, communications/phone and office applications; 6.2.2 remote access to the Client’s systems and development environments as necessary to provide the Services; 6.2.3 approval to remote working, where this does not adversely impact the Deliverables; 6.2.4 access to appropriately skilled and qualified Client Personnel (including senior management and potential users of the Services and/or Deliverables): 6.2.4.1 who have the aptitude, management skills and appropriate business understanding to identify requirements and assess recommended solutions; and 6.2.4.2 to meet any staffing requirements set out in the relevant Statement of Work and/or as otherwise agreed with Delaware as being reasonably required to liaise with Delaware Consultants in relation to the performance of each Party’s obligations under this Agreement and/or any Statement of Work.
