Client Duties and Responsibilities. Client will: a. Properly supervise Assigned Employee’s work performance and be responsible for Client’s business operations, products, services, and intellectual property; b. Properly supervise, control, and safeguard its premises, processes, and systems, and not permit Assigned Employees to operate any vehicle or mobile equipment, or entrust them with unattended premises, cash, checks, keys, credit cards, merchandise, confidential or trade secret information, negotiable instruments, or other valuables without Agency 's express prior written approval or as strictly required by the job description provided to Agency; c. Provide Assigned Employee with a safe work site and provide appropriate information, training, and safety equipment with respect to any hazardous substances or conditions to which Assigned Employee may be exposed at the work site; d. Not change Assigned Employee’s job duties without Agency 's express prior written approval; e. Exclude Assigned Employees from Client’s benefit plans, policies, and practices, and not make any offer or promise relating to Assigned Employees' compensation or benefits; f. Reimburse Agency for advertising conducted with respect to recruiting specific personnel, when advertising is done at the request of Client; g. Comply with OSHA Bloodborne Pathogen Exposure Control regulations found under OSHA Standard 29 C.F.R.e.1910. Client certifies that it has developed and follows an Exposure Control Plan in conformance with those regulations. At the time of initial assignment to tasks where occupational exposure may occur, Client will provide Assigned Employee with training in compliance with OSHA Standard 29 C.F.R.e.1910. Client agrees to provide post exposure evaluation and follow-up pursuant to OSHA Standard 29 C.F.R.e.1910, if an exposure incident occurs to any Assigned Employee and to provide copies of all records of post- exposure care to Agency. Client agrees to orient Assigned Employee to Client’s policies, procedures, operations and OSHA/Infection Control procedures, and inform the Agency of training dates and any changes in the Client’s policies and procedures; h. Designate a representative to report to Agency all time worked by each Assigned Employee on a mutually agreed schedule; i. Be responsible for compliance with all relevant safety and health laws and regulations during the period of the Assigned Employee's assignment under Client's supervision, including but not limited to JCAHO regulations relating to orientation and evaluation and HIPAA regulations.

Client Duties and Responsibilities. 3.1 Client willshall: a. Properly supervise (a) inform Assigned Employee’s Employees of the Client's work performance to be performed, and Client shall be responsible for Client’s its business operations, products, services, services and intellectual property; b. Exclude (c) provide Assigned Employees with a safe workplace and necessary and appropriate equipment, including, but not limited to, personal protective equipment. (d) Provide Assigned Employees with training on Standard and Transmission-Based Precautions, Personal Protective Equipment (PPE), Aerosol-generating procedures (AGPs) on a person with suspected or confirmed COVID-19, Physical Distancing, Physical Barriers, Cleaning and Disinfection, Ventilation in compliance with OSHA 29 CFR 1910 (1910.502-Healthcare) Emergency Temporary Standards related to COVID-19. (e) provide Assigned Employees with a copy of the applicable job description and, on or before the first day of work, provide Assigned Employees with appropriate orientation, education, and training regarding Client’s facility, rules, regulations, policies and procedures; (f) notify Fusion in writing of the applicable workweek utilized by Client, including any alternative workweek schedules applicable to an Assigned Employee and duly elected and adopted by Client in accordance with applicable law. Where an alternative workweek schedule has been adopted by Client and applies to an Assigned Employee, Client will provide Fusion with the relevant filings made by Client with a state or local agency or department, where such filings are required by applicable law be responsible for ensuring that Assigned Employees follow and comply with Client’s rules, regulations, policies and procedures; (g) direct and supervise Assigned Employees’ work and activities during all times that the Assigned Employees are working at or for Client’s facility; (h) utilize the services of the Assigned Employees for the entire length of the assignment; (i) pay Fusion for all approved invoiced amounts, including, but not limited to, any and all services rendered by the Assigned Employees; (j) exclude Assigned Employees from Client’s benefit 's benefits plans, policies, policies and practices, and not make any offer or promise relating to Assigned Employees' compensation or benefits; f. Reimburse Agency for advertising conducted (k) not change Assigned Employees' job duties or assignment without Fusion's express prior written approval; and (l) not offer or give any gifts (cash or in-kind), directly or indirectly, to a Fusion employee, agent, contractor or any family member of a Fusion employee, agent or contractor, including, but not limited to, Assigned Employees. (m) provide Fusion with respect at least 14-days notice of any change in hourly rates. 3.2 Client represents and warrants that it will direct, supervise and manage Assigned Employees in a manner that is consistent with its own policies and procedures and will address any incident consistent with those policies and procedures. 3.3 Client will promptly notify (within 24 hours) Fusion by written documentation of any incident that occurs which involves an Assigned Employee regarding: a risk to recruiting specific personnelpatient safety, when advertising is done at quality of care, or security; acts of professional negligence; and/or a sentinel event. The parties will then engage in commercially reasonable efforts, not to exceed 14 days, to address and resolve the request incident. If, after the parties have exhausted all commercially reasonable efforts, the incident cannot be resolved to the reasonable satisfaction of Client; g. Comply with OSHA Bloodborne Pathogen Exposure Control regulations found under OSHA Standard 29 C.F.R.e.1910. Client certifies that it has developed and follows an Exposure Control Plan in conformance with those regulations. At , Fusion will make reasonable efforts to replace the time of initial assignment to tasks where occupational exposure may occur, Client will provide Assigned Employee with training in compliance with OSHA Standard 29 C.F.R.e.1910Employee(s) as soon as practicable. Client agrees to provide post exposure evaluation and follow-up pursuant reasonably cooperate with Fusion to OSHA Standard 29 C.F.R.e.1910, if conduct an exposure incident occurs to any Assigned Employee and to provide copies of all records of post- exposure care to Agency. Client agrees to orient Assigned Employee to Client’s policies, procedures, operations and OSHA/Infection Control procedures, and inform the Agency of training dates and any changes in the Client’s policies and procedures; h. Designate a representative to report to Agency all time worked by each Assigned Employee investigation on a mutually agreed schedule; i. Be responsible for compliance with all relevant safety and health laws and regulations during the period of the Assigned Employee's assignment under Client's supervision’s role in the incident in question, including but not limited to JCAHO regulations relating identify the cause(s) of the incident, and to orientation and evaluation and HIPAA regulationspropose actions that can be implemented to prevent future incidents.
