Common use of Client Relationships Clause in Contracts

Client Relationships. Set forth in Part 3.26 of the Disclosure Letter is a true and complete list of the Company's top twenty (20) client accounts for the past two (2) fiscal years (including, but not limited to, AT&T), measured by gross revenues in each year (the "Major Customers"), and the key Company employees which manage the account, including the account manager and the creative team assigned to each such account. In the last twelve months, no Major Customer has canceled or otherwise terminated, or, to the knowledge of the Company or the Shareholder, Threatened to cancel or otherwise terminate, its relationship with the Company, or reduced, or Threatened to reduce, its business with the Company or conducted an audit of the Company. The Company has not received any written or oral notice and has no knowledge that any Major Customer intends to cancel, audit or otherwise modify its relationship with Company (and, after the Closing, the Buyer) on account of the Contemplated Transaction or otherwise.
