Common use of Closing and Parties Clause in Contracts

Closing and Parties. The Closing contemplated hereby shall be held at the principal office of TTL in Largo, Florida on or before 9:00 a.m. September 30, 1998, or on another date to be agreed to in writing by the parties (the "Closing Date"). The Agreement may be closed at any time following approval by a majority of the stockholders of TTL Common Stock as set forth in Section 4.02 hereof and the Brounley Stockholders as set forth in Section 5.02. The Closing may be accomplished by wire, express mail, overnight courier conference telephone call or as otherwise agreed to by the respective parties or their duly authorized representatives.
