Common use of Closing Certificate Clause in Contracts

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(a) and Section 4.02(b).

Closing Certificate. The Administrative Agent shall have received a certificate of an Authorized Officer of the Borrower, dated the Closing Date, confirming satisfaction of certifying that the conditions set forth in Section 4.01(o)Sections 6.6, Section 4.01(p)6.7, Section 4.02(a) 6.8, 6.17 and Section 4.02(b)7.1 have been satisfied as of the Closing Date.

Closing Certificate. The Administrative Agent shall have received a certificate certificate, dated the Effective Date and signed by the President, a Vice President or a Financial Officer of the Borrower, dated the Closing Date, confirming satisfaction of compliance with the conditions set forth in Section 4.01(oparagraphs (a), Section 4.01(p), Section 4.02(a(b) and (c) of Section 4.02(b)4.02.

Closing Certificate. The Administrative Agent shall have received a certificate “Closing Certificate” of the a Responsible Officer of Borrower, dated of even date with this Agreement, in which such officer certifies to the Closing Date, confirming satisfaction of each of the conditions set forth out in Section 4.01(o), Section 4.01(p), Section 4.02(a) 4.1 and Section 4.02(b)4.2.

Closing Certificate. The Administrative Agent shall have received a certificate signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth specified in Section 4.01(o), Section 4.01(p), Section Sections 4.02(a) and Section 4.02(b)) have been satisfied.

Closing Certificate. The Administrative Agent shall have received an officer’s certificate executed by a certificate Financial Officer of the Borrower, dated U.S. Borrower certifying that the conditions in Sections 4.01(xiv) and 4.01(xvii) have been satisfied or will be substantially satisfied concurrently with the initial Credit Event on the Closing Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(a) and Section 4.02(b).

Closing Certificate. The Administrative Agent shall have received a certificate certificate, dated the Effective Date and signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of compliance with the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(aparagraphs (a) and (b) of Section 4.02(b)4.02.

Closing Certificate. The Administrative Agent shall have received a certificate substantially in the form of Exhibit 4.01(j) signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth specified in Section 4.01(o), Section 4.01(p), Section Sections 4.02(a) and Section 4.02(b)) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(a) and Section 4.02(b).

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing Date, confirming satisfaction substantially in the form of Exhibit D, certifying that the conditions set forth in Section 4.01(oclauses (b), Section 4.01(p(c), Section 4.02(a(d) and (n) of this Section 4.02(b)4.1 have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate executed by a Responsible Officer of the Borrower, dated Borrower as of the Closing Date, confirming satisfaction of certifying that the conditions set forth in Section 4.01(oSections 4.01(n), Section 4.01(p), Section 4.02(a) and Section 4.02(b)) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate executed by a Responsible Officer of the Borrower, dated Company as of the Closing Date, confirming satisfaction of certifying that the conditions set forth specified in Section 4.01(oSections 4.01(i), Section 4.01(p4.01(l), Section 4.01(m) and Sections 4.02(a) and Section 4.02(b)) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth in Section 4.01(o‎Sections 4.01(b), Section 4.01(p), Section 4.02(a‎4.02(a) and Section 4.02(b)‎4.02(b) have been satisfied. Subject to ‎Section 6.13, the making of the initial Credit Extension by the Lenders hereunder shall conclusively be deemed to constitute an acknowledgement by the Administrative Agent and each Lender that each of the conditions precedent set forth in this ‎Section 4.01 shall have been satisfied in accordance with its respective terms or shall have been irrevocably waived by such Person.

Closing Certificate. The Administrative Agent shall have received a certificate signed by a Responsible Officer of the Borrower, dated as of the Closing Date, confirming satisfaction of stating that the conditions set forth specified in Section 4.01(oSections 4.01(c), Section 4.01(p), Section 4.02(a4.01(d) and Section 4.02(b)4.01(e) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrowercertificate, dated the Closing DateEffective Date and signed by a Responsible Officer of the Parent Borrower, confirming satisfaction of compliance with the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(a4.01(g) and Sections 4.03(a) and (b) (which certificate shall include the making of the representations and warranties referred to in Section 4.02(b4.03(a)).

Closing Certificate. The Administrative Agent shall have received a certificate of the BorrowerBorrowers, dated the Closing Date, Date confirming satisfaction of the conditions set forth in Section 4.01(oclauses (b), Section 4.01(p), Section 4.02(a(j) and (m) of this Section 4.02(b)4.1, substantially in the form of Exhibit C, and including appropriate insertions and attachments.

Closing Certificate. The Administrative Agent shall have received a certificate certificate, dated the Effective Date and signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of compliance with the conditions set forth in Section 4.01(oSections 4.01(h), Section 4.01(p(i), Section 4.02(a(l) and (n) (which certificate shall include the making of the representations and warranties referred to in Section 4.02(b4.01(l)).

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing as of such First Amendment Effective Date, in form and substance reasonably satisfactory to the Administrative Agent, confirming satisfaction of that the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(aclauses (c) and (d) of this Section 4.02(b)4 have been satisfied and attaching the documents referred to in clauses (g) and (h) of this Section 4.

Closing Certificate. The Administrative Agent shall have received a certificate signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth specified in Section 4.01(oSections 4.01(h), Section 4.01(p4.01(i), Section 4.01(j), 4.02(a) and Section 4.02(b)) have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate substantially in the form of Exhibit 4.01(j) signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth specified in Section 4.01(o), Section 4.01(p), Section Sections 4.02(a) and Section 4.02(b).4.02

Closing Certificate. The Administrative Agent shall have received a certificate of the US Borrower, dated the Closing Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(a) and Section 4.02(b).

Closing Certificate. The Administrative Agent shall have received a certificate or certificates executed by an Authorized Officer of the Lead Borrower, dated the Acquisition Closing Date, confirming substantially in the form of Exhibit 4.1(l) certifying as to satisfaction of the conditions set forth referred to in Section 4.01(o4.3 (e), Section 4.01(p(f), Section 4.02(a(j) and Section 4.02(b(l).

Closing Certificate. The Administrative Agent shall have received a certificate certificate, signed by a Responsible Officer of the Borrower, dated on the Closing Effective Date, confirming satisfaction of stating that the conditions set forth in Section 4.01(oclauses (h), Section 4.01(p), Section 4.02(a(n) and (o) of this Section 4.02(b)4.01 have been satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate signed by a Responsible Officer of the Borrower, dated the Closing Date, confirming satisfaction of Borrower certifying that the conditions set forth in Section 4.01(o), Section 4.01(p4.01(b), Section 4.02(a) and Section 4.02(b)) have been satisfied. Subject to Section 6.13, the making of the initial Credit Extension by the Lenders hereunder shall conclusively be deemed to constitute an acknowledgement by the Administrative Agent and each Lender that each of the conditions precedent set forth in this Section 4.01 shall have been satisfied in accordance with its respective terms or shall have been irrevocably waived by such Person.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing Effective Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(aclause (b) and (c) of this Section 4.02(b)5.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrower, dated the Closing Amendment No. 4 Effective Date, confirming satisfaction of the conditions set forth in Section 4.01(o), Section 4.01(p), Section 4.02(aclause (b) and (c) of this Section 4.02(b)3.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrowercertificate, dated the Closing Date, Date and signed by a Financial Officer of the Company confirming satisfaction of that the conditions set forth in this Section 4.01(o), Section 4.01(p), Section 4.02(a) 4.1 and Section 4.02(b)4.2 shall be satisfied.

Closing Certificate. The Administrative Agent shall have received a certificate of the Borrowercustomary closing certificate, dated the Closing Date, confirming satisfaction Fourth Amendment Effective Date signed by an Authorized Officer of the Borrower certifying that the conditions precedent set forth in Section 4.01(o)Sections 4.2, Section 4.01(p), Section 4.02(a) 4.9 and Section 4.02(b)4.10 have been satisfied or waived on such date.
