Common use of Closing Conditions of each Purchaser Clause in Contracts

Closing Conditions of each Purchaser. Each Purchaser's obligation to enter into the Documents and purchase the Notes and Warrants at the First Closing, the Second Closing, and Third Closing (as applicable and to the extent not previously fulfilled) is subject to the fulfillment of each and every one of the following conditions prior to or contemporaneously with such Purchaser entering into the Documents and purchasing the Notes and Warrants at the applicable Closing (unless waived by such Purchaser in writing in its sole and absolute discretion):
