Common use of Closing Date Purchases Clause in Contracts

Closing Date Purchases. Effective on the Closing Date, the Sub-Originator hereby sells to the Buyer, and the Buyer hereby purchases, the Sub-Originator’s entire right, title and interest in, to and under (i) each Receivable that existed and was owing to the Sub-Originator at the Cut-Off Date, (ii) each Receivable generated or otherwise acquired by the Sub-Originator from and including the Cut-Off Date, to and including the Closing Date, and (iii) all Related Rights with respect thereto.

Closing Date Purchases. Effective on the Closing Date, the each Sub-Originator hereby sells to the Buyer, and the Buyer hereby purchases, the such Sub-Originator’s entire right, title and interest in, to and under (i) each Receivable that existed and was owing to the Sub-Originator at the Cut-Off Date, (ii) each Receivable generated or otherwise acquired by the Sub-Originator from and including the Cut-Off Date, to and including the Closing Date, and (iii) all Related Rights with respect thereto.
