Common use of Closing Deliveries; Assignment of Rights Clause in Contracts

Closing Deliveries; Assignment of Rights. In connection with the purchase and sale of any Shares pursuant to this Section 4, the Seller of such Shares shall: (i) sell, assign, transfer, convey and deliver to Purchasers such Shares free and clear of any and all Liens; and (ii) make such other deliveries to Purchasers as Purchasers may reasonably deem to be necessary or desirable to consummate the transactions contemplated hereby. Any Purchaser may assign all or any portion of such Purchaser’s rights under this Section 4 to any other Purchaser. In the event a Purchaser elects not to, fails or is otherwise unable to exercise his rights under this Section 4, such rights shall be allocated to and may be exercised by the remaining Purchasers.

Closing Deliveries; Assignment of Rights.
