Common use of Closing Deliveries by Purchaser Clause in Contracts

Closing Deliveries by Purchaser. At the Closing, Purchaser shall deliver to Seller: (a) an original of each Transaction Document to which Purchaser is a party, duly executed by Purchaser; (b) the payments described in Section 2.4(a)(ii), (iii), and, if applicable, (iv); and (c) the certificates and other documents required to be delivered pursuant to Section 6.1.

Closing Deliveries by Purchaser. At the Closing, Purchaser shall deliver to Selleror on behalf of the Sellers, as applicable: (a) an original the payment of each Transaction Document to which Purchaser is a party, duly executed by Purchaserthe Closing Purchase Price in accordance with Section 2.02; (b) a true and complete copy, certified by an authorized officer of Purchaser, of the payments described in Section 2.4(a)(ii), (iii), and, if applicable, (iv); and (c) resolutions duly and validly adopted by the certificates sole member of Purchaser evidencing its authorization of the execution and other documents required delivery of this Agreement to be delivered pursuant to Section 6.1.which it is a party and the consummation of the transactions contemplated hereby and thereby;

Closing Deliveries by Purchaser. At the Closing, Purchaser shall deliver to Seller: (a) an original of each Transaction Document the Purchase Price by wire transfer in immediately available funds to which Purchaser is a party, duly executed by Purchaser;Seller's Bank Account; and (b) the payments described in Section 2.4(a)(ii), (iii), and, if applicable, (iv); and (c) the officer's certificates and other documents required to be delivered pursuant to Section 6.16.2(a) and Section 6.2(b).
