Common use of Closing; Further Assignments Clause in Contracts

Closing; Further Assignments. (a) The sale and assignment of the Second-Tier Assets will take place on the 2014-A Closing Date concurrently with the closings under the First-Tier Sale Agreement and the Indenture. (b) The Depositor acknowledges that the Issuer will, pursuant to the Indenture, assign and pledge the Second-Tier Assets and certain other property and rights to the Indenture Trustee for the benefit of the 2014-A Secured Parties. The Depositor consents to such assignment and pledge. (c) The Issuer acknowledges the appointment of Ford Credit as Servicer with respect to the Collateral Specified Interests pursuant to the Servicing Agreement and as Servicer with respect to the 2014-A Reference Pool pursuant to the Servicing Supplement.
