Common use of Closing Matters Clause in Contracts

Closing Matters. All proceedings (including, without limitation, the matters referred to in Section 2.7) to be taken by the Seller in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby shall be reasonably satisfactory in form and substance to Purchaser and its counsel.

Closing Matters. All proceedings (including, without limitation, the matters referred to in Section 2.7) to be taken by the Seller Purchaser in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby shall be reasonably satisfactory in form and substance to Purchaser Seller and its counsel.

All proceedings (including, without limitation, the matters referred to in Section 2.7) to be taken by the Seller in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby shall be reasonably satisfactory in form and substance to the Purchaser and its their counsel.

All proceedings (including, without limitation, the matters referred to in Section 2.7) to be taken by the Seller Parent or Purchaser in connection with the consummation of the transactions contemplated hereby and all certificates, opinions, instruments and other documents required to effect the transactions contemplated hereby shall be reasonably satisfactory in form and substance to Purchaser Seller and its his counsel.
