Common use of Closing Proceedings and Documents Clause in Contracts

Closing Proceedings and Documents. All corporate and other proceedings in connection with the transactions contemplated at the Closing and all documents incident thereto shall be reasonably satisfactory in form and substance to OVB, and OVB shall have received all such counterpart originals and certified or other copies of such documents as OVB may reasonably request. Such documents shall include (but not be limited to) copies of the resolutions of the MLB Board and MLB’s shareholders evidencing the requisite approval of this Agreement, the Merger, and the other Contemplated Transactions and certified as of the Closing by the Secretary of MLB as true, correct and complete copies thereof, which resolutions shall be in full force and effect.
