Common use of Closing Time and Place Clause in Contracts

Closing Time and Place. The closing of the purchase and sale provided for in this Agreement (the “Closing”) shall occur at the offices of M▇▇▇▇▇▇▇ & F▇▇▇▇▇▇▇ LLP, 5▇▇ ▇▇▇▇ ▇▇▇▇▇ ▇▇., ▇▇▇▇▇ ▇▇▇▇, ▇▇▇ ▇▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇, on the third (3rd) Business Day after the day on which all of the conditions to closing set forth in Article 9 are satisfied or waived (other than conditions that are intended to be satisfied at the Closing) but in no event earlier than January 4, 2008, or at such other date, time or place as the parties may agree (the “Closing Date”).
