Common use of CLOSING UNDERTAKINGS Clause in Contracts

CLOSING UNDERTAKINGS. (1) The Closing (including for certainty the delivery of executed documents) shall take place upon such reasonable trust conditions, if any, as may be agreed upon by the Vendor's Solicitors and the Purchaser's Solicitors. (2) The Closing Date Consideration shall be paid to the Vendor's Solicitors in trust on or before the Closing Date and shall be held on such trust conditions as may be reasonably stipulated by the Purchaser's Solicitors.
