Common use of Collateral Agent and Representative Clause in Contracts

Collateral Agent and Representative. It is understood and agreed that (a) the First Lien Credit Agreement Collateral Agent is entering into this Agreement in its capacity as administrative agent and collateral agent under the First Lien Credit Agreement and the provisions of Article [•] of the First Lien Credit Agreement applicable to the Collateral Agent (as defined therein) and Administrative Agent (as defined therein) thereunder shall also apply to the First Lien Credit Agreement Collateral Agent hereunder, (b) the Second Lien Indenture Collateral Agent is entering into this Agreement in its capacity agent under the Second Lien Indenture and the provisions of Article 11 of the Second Lien Indenture applicable to the Collateral Agent (as defined therein) thereunder shall also apply to the Second Lien Indenture Collateral Agent hereunder and (c) the Initial Junior Lien Collateral Agent is entering into this Agreement in its capacity as administrative agent and collateral agent under the Initial Junior Lien Agreement and the provisions of Article [•] of the Initial Junior Lien Agreement applicable to the Agents (as defined therein) thereunder shall also apply to the Initial Junior Lien Collateral Agent hereunder.

Collateral Agent and Representative. It is understood and agreed that (a) the First Lien Credit Agreement Collateral Agent is entering into this Agreement in its capacity as administrative agent and collateral agent under the First Lien Credit Agreement and the provisions of Article [•] IX of the First Lien Credit Agreement applicable to the Collateral Agent (as defined therein) and Administrative Agent Agents (as defined therein) thereunder shall also apply to the First Lien Credit Agreement Collateral Agent hereunder, hereunder (b) the Second Lien Indenture Collateral Agent Wilmington Trust, National Association is entering into this Agreement as Additional Senior Debt Collateral Agent in its capacity as collateral agent under the Second Initial Additional First Lien Indenture Agreement and shall be entitled to the same rights, protections, immunities and indemnities as set forth in the Initial Additional First Lien Agreement as if the provisions of Article 11 of the Second Lien Indenture applicable to the Collateral Agent (as defined therein) thereunder shall also apply to the Second Lien Indenture Collateral Agent hereunder setting forth those rights, protections, immunities and indemnities are fully set forth herein and (c) the Initial Junior Second Lien Collateral Agent is entering into this Agreement in its capacity as administrative agent and collateral agent under the Initial Junior Second Lien Agreement and the provisions of Article [•IX] of the Initial Junior Second Lien Agreement applicable to the Agents (as defined therein) thereunder shall also apply to the Initial Junior Second Lien Collateral Agent hereunder.
