Common use of Collection and Use of Personal Information Clause in Contracts

Collection and Use of Personal Information. The Subscriber acknowledges and consents to the Manager’s and/or the Fund’s collection of the personal information relating to the Subscriber contained in this Subscription Agreement or gathered in connection with the Subscriber’s investment in the Funds. The Subscriber acknowledges that such personal information will be collected and used by the Manager and/or the Funds in order to administer and manage the Subscriber’s investment in the Funds, and may be disclosed to third parties that provide administrative and other services in respect of the Funds. In addition, such personal information may be collected, used and disclosed for the purposes of meeting legal, regulatory, self-regulatory, security and audit requirements (including any applicable tax, securities, anti-money laundering, anti-terrorism legislation, rules or regulations) and as otherwise permitted or required by law, which disclosures may include disclosures to tax, securities or other regulatory or self- regulatory authorities in Canada and/or in foreign jurisdictions, if applicable, in connection with the regulatory oversight mandate of such authorities. The Subscriber hereby acknowledges that it has been notified (a) that delivery is required to be made to certain securities regulatory authorities or regulators of certain personal information regarding the Subscriber including, without limitation, the Subscriber’s name, address, telephone number and e-mail address, the number and type of securities purchased by the Subscriber, the date of the purchase and the amount paid by the Subscriber, the prospectus exemption relied upon to distribute securities to the Subscriber, and whether or not the Subscriber is registered under the securities legislation of any province or territory of Canada, (b) that the personal information is being collected by the securities regulatory authorities or regulators under the authority granted to such regulatory authorities or regulators in securities legislation and is being collected for the purposes of the administration and enforcement of the securities legislation of the local jurisdiction, and (c) of the title, business address and business telephone number of the public official in the Subscriber’s local jurisdiction who can answer questions about the applicable security regulatory authorities’ or regulators’ indirect collection of information, as set out in Appendix C. The Subscriber hereby authorizes the indirect collection of information by the securities regulatory authorities or regulators.

Collection and Use of Personal Information. The Subscriber acknowledges that this Subscription Agreement, including the schedules hereto, require the Subscriber to provide certain personal information to the Company. Such information is being collected by the Company for the purposes of completing the Offering, which includes, without limitation, determining the Subscriber’s eligibility to purchase the FT Shares under applicable Securities Laws and completing filings that may be required by any securities regulatory authority. The Subscriber acknowledges and consents to the Manager’s and/or collection and use by the Fund’s collection Company of their personal information and the retention of such personal information for as long as permitted or required by applicable law or business practices. The Subscriber further consents to the disclosure of their personal information by the Company to: (a) the securities regulatory authorities as may be required, (b) the CRA or other taxing authorities, (c) authorities pursuant to the PCMLTFA and (d) any of the personal information relating to other parties involved in the Subscriber contained Offering, including legal counsel, and may be included in this Subscription Agreement or gathered record books of the Company in connection with the Subscriber’s investment Offering. The Subscriber represents and warrants that it has the authority to provide the consents and acknowledgements set out in this Section 9. Further, the Subscriber acknowledges, consents and authorizes the Company to deliver to the applicable securities regulatory authority personal information (such as full name, residential address and telephone number) pertaining to the Subscriber (and any beneficial purchaser) and further acknowledges and consents to the fact that the Company may be required by applicable Securities Laws, stock exchange rules and Investment Regulatory Organization of Canada rules to provide regulatory authorities any personal information provided by the Subscriber respecting itself (and any beneficial purchaser). The Subscriber (on its own behalf and, if applicable, on behalf of each beneficial purchaser for whose benefit the Subscriber is acting) acknowledges that this information may be collected indirectly by the applicable securities regulatory authority, including those listed in the Fundsattached Schedule “B”, under the authority granted to it in applicable securities laws. The Subscriber acknowledges that such personal this information will be collected and used by the Manager and/or the Funds in order to administer and manage the Subscriber’s investment in the Funds, and may be disclosed to third parties that provide administrative and other services in respect of the Funds. In addition, such personal information may be collected, used and disclosed for the purposes of meeting legal, regulatory, self-regulatory, security and audit requirements (including any applicable tax, securities, anti-money laundering, anti-terrorism legislation, rules or regulations) and as otherwise permitted or required by law, which disclosures may include disclosures to tax, securities or other regulatory or self- regulatory authorities in Canada and/or in foreign jurisdictions, if applicable, in connection with the regulatory oversight mandate of such authorities. The Subscriber hereby acknowledges that it has been notified (a) that delivery is required to be made to certain securities regulatory authorities or regulators of certain personal information regarding the Subscriber including, without limitation, the Subscriber’s name, address, telephone number and e-mail address, the number and type of securities purchased by the Subscriber, the date of the purchase and the amount paid by the Subscriber, the prospectus exemption relied upon to distribute securities to the Subscriber, and whether or not the Subscriber is registered under the securities legislation of any province or territory of Canada, (b) that the personal information is being collected by the securities regulatory authorities or regulators under the authority granted to such regulatory authorities or regulators in securities legislation and is being collected for the purposes of the administration and enforcement of the securities legislation of the local jurisdiction, and (c) of the title, business address and business telephone number of further acknowledges that the public official in the Subscriber’s local jurisdiction who can answer questions about the applicable security regulatory authorities’ or regulators’ securities regulator’s indirect collection of information, as such information is set out in Appendix C. Schedule ‘B’. The Subscriber hereby authorizes represents and warrants that it has the indirect collection of information by authority to provide the securities regulatory authorities or regulatorsconsents, acknowledgements and authorizations set out in this Section 9.

In addition, such personal information may be collected, used and disclosed for the purposes of meeting legal, regulatory, self-regulatory, security and audit requirements (including any applicable tax, securities, anti-money laundering, laundering or anti-terrorism legislation, rules or regulations) and as otherwise permitted or required by law, which disclosures may include disclosures to tax, securities or other regulatory or self- self-regulatory authorities in Canada and/or in foreign jurisdictions, if applicable, in connection with the regulatory oversight mandate of such authorities.
