Common use of Comcast’s Representations and Warranties Clause in Contracts

Comcast’s Representations and Warranties. Without limiting any other representation, warranty or covenant of Comcast herein, Comcast herebyComcast represents, and warrants and covenants to Studio that: 26.1. 22.1. It is a company duly organized under the laws of the state of its organization and has all requisite corporate power and authority to enter into this Agreement and perform its obligations hereunder. 26.2. 22.2. The execution and delivery of this Agreement has been duly authorized by all necessary corporate action and Comcast is under no contractual or other legal obligation that would in any way interfere with its full, prompt and complete performance hereunder. 26.3. 22.3. This Agreement has been duly executed and delivered by, and constitutes a valid and binding obligation of Comcast, enforceable against such party in accordance with the terms and conditions set forth in this Agreement, except as such enforcement is limited by bankruptcy, insolvency and other similar laws affecting the enforcement of creditors’ rights generally, and by general equitable or comparable principles. 26.4. 22.4. At such times as Comcast is then-distributing video content via the Ultraviolet Ecosystem, Comcast shall at all times during the Term of this Agreement remain in fullmaterial compliance with thethose Comcast UV Agreements applicable to such distribution.
