Coming Into Effect. This Agreement replaces and supersedes the 2018 Amended and Restated Agreement and is effective and in full force and effect in accordance with its terms immediately prior to the Effective Time, provided that, for greater certainty, if the Effective Time does not occur this Agreement shall be of no force or effect.
