Commercial Entities. This will include places of business, such as office spaces, retailers, private shopping entities and formal gatherings of business that might be representative of the SIZA company.
Commercial Entities. From time to time, one or more Card Schemes may require that you enter into an additional agreement directly with one of our Payment Processing Partners or with the applicable Card Scheme. Typically this happens if your transactions exceed one hundred thousand dollars ($100,000) with respect to a particular Card Scheme on an annual basis in a given geography. If we believe that your account is likely to be subject to this additional requirement, we will provide you with a "Commercial Entity Agreement" that you must agree to in order to continue using KPP. If you fail to accept that "Commercial Entity Agreement," we may suspend or terminate your account.
Commercial Entities i. (****) employees - The following fees apply in the event that a Commercial Entity does not have a license agreement with one or more of the applicable parties noted below and seeks a Standard Form hiPSC License from CDI in order to use, and proliferate iPSC lines and to make, or have made, sell, or offer for sale Differentiated Cells subject to what is provided in Section 13.c.iii: (A) Pass through fees owed to iPS AJ: (i) Execution of an agreement with CDI which provides a sublicense to iPSC AJ’s patents in Exhibit A: $(****) (a one-time payment). (ii) Commercialization of a product, including a drug, or service which is enabled by use of the iPSC Lines and/or Differentiated Cells: $(****) (a one-time payment). (iii) Minimum Annual Royalty for all iPSC Lines: $(****). (iv) Additional Annual Payment for High Throughput Screening for all iPSC Lines: $(****). (v) Royalty Applicable to Non Drug-related Products and Services requiring continued use of the iPSC Lines: a royalty of (****)% will apply to net revenues derived from the use or sale of goods or services derived from or using the iPSC Lines and/or the Differentiated Cells. Commercial Entities. TP3 agrees and understands that the Payment Brand Rules require that, in addition to any contract between Merchant and TP3, Paymentech must enter into a written agreement with each Merchant having Visa annual sales greater than $100,000 or MasterCard annual sales greater than $1,000,000 (a “Commercial Entity”) and that such requirements shall be included in either a separate agreement or in the TP3 Merchant Processing Agreement. TP3 shall promptly notify Paymentech of any Merchant which it has reason to believe may be or is likely to become a Commercial Entity, but such requirement shall not affect TP3’s obligation to enter into an agreement with a Merchant as required by Section 1.5. At any time and from time to time, Paymentech shall be entitled to designate any Merchant as a Commercial Entity which Paymentech reasonably believes will meet the criteria outlined above, and to require, either directly or through TP3, such Merchant to execute an agreement with Paymentech in a form substantially similar to the form attached hereto as Schedule C, with such changes as the Payment Brands may require from time to time. With respect to each Merchant entity that Paymentech designates as a Commercial Entity, TP3 shall collect and forward all information requested by Paymentech to comply with Paymentech’s or Member’s legal or compliance obligations, Payment Brand Rules as well as Paymentech’s or Member’s then current policies, including, without limitation, its credit policies. Exercise of any right by Paymentech against any Merchant or TP3 shall not preclude Paymentech, in its sole discretion, from enforcing its right against, or recovery fromTP3.. Any Merchant having annual MasterCard sales greater than $1,000,000 must receive settlement funds directly from Paymentech as required by current Payment Brand Rules. TP3 will assist Paymentech in obtaining appropriate documentation pertaining to the settlement account from such Merchants.

  • Entities To register an Account or use the Services, you must be an entity duly formed and legally authorized to operate in the jurisdiction of your formation (“Entity”). If you are registering to use the Zero Hash Services on behalf of a legal entity, you represent and warrant that (i) such legal entity is duly organized and validly existing under the Applicable Laws of the jurisdiction of its organization; and (ii) you are duly authorized by such legal entity to act on its behalf. You further represent and warrant that: (a) you are at least 18 years if age, (b) have not previously been suspended or removed from using the Zero Hash Services, and (c) have all powers and authority necessary to enter this agreement and in doing so will not violate any other agreement to which you are a party. Zero Hash is not responsible or liable for relying on the representations of your agents, employees, contractors, attorneys, financial advisors, or any other person Zero Hash reasonably believes represents you in the acceptance of this User Agreement or in the acceptance of any other instruction through the Platform or through the Zero Hash System.

(the “GIA”), Contractor shall maintain, in lieu of the liability insurance requirements stated above, at all times during the term of this Contract such liability insurance, by commercial policy or self-insurance, as is necessary to meet its liabilities under the GIA. If a Subcontractor is a public entity within the meaning of the GIA, Contractor shall ensure that the Subcontractor maintain at all times during the terms of this Contract, in lieu of the liability insurance requirements stated above, such liability insurance, by commercial policy or self-insurance, as is necessary to meet the Subcontractor’s obligations under the GIA.
