Commercially Reasonable Terms and Conditions Clause Samples

The 'Commercially Reasonable Terms and Conditions' clause requires that any actions, obligations, or standards referenced in the contract be performed or interpreted according to what is generally accepted as fair and sensible in the relevant industry. In practice, this means that parties must act in a manner consistent with what similar businesses would consider reasonable under comparable circumstances, such as setting prices, delivery schedules, or service levels. The core function of this clause is to provide a flexible, industry-based benchmark for performance and expectations, helping to prevent disputes by ensuring that neither party is held to unrealistic or arbitrary standards.
