If on any such date no market-maker is making a market in Common Shares, the fair value of Common Shares on such date as determined in good faith by the Board of Directors of the Company shall be used, whose determination shall be described in a statement filed with the Rights Agent. The term "Trading Day" shall mean a day on which the principal national securities exchange on which Common Shares are listed or admitted to trading is open for the transaction of business or, if Common Shares are not listed or admitted to trading on any national securities exchange, a Business Day. Common Share. The number, type and exercise price of the Options are subject to adjustment pursuant to Section 4.2 of the SIP. The Options shall expire on the first to occur of (i) the close of business on the last business day of the Company coinciding with or immediately preceding the day before the tenth anniversary of the Grant Date or (ii) the termination of the Options pursuant to Section 4.2 of the SIP.
