Common Stock Reserved for Issuance Sample Clauses

The "common stock reserved for issuance" clause defines the portion of a company's authorized common stock that is set aside specifically for future issuance, often in connection with convertible securities, stock options, or warrants. In practice, this means the company earmarks a certain number of shares that may be issued if, for example, investors convert preferred shares to common stock or employees exercise stock options. This clause ensures that the company has sufficient shares available to meet its obligations under existing agreements, thereby preventing dilution disputes and providing clarity to investors and stakeholders about the company's capital structure.
