Compensation and Indemnification of Trustee. Subject to the provisions of any contract between the Corporation and the Trustee, the Corporation shall pay to the Trustee reasonable compensation for all services performed by it hereunder and also all its reasonable expenses, charges and other disbursements and those of its attorneys, agents and employees incurred in and about the administration and execution of the trusts hereby created and the performance of their powers and duties hereunder, and shall, to the extent permitted by the laws of the State, indemnify and save the Trustee harmless against any liabilities which it may incur in the exercise and performance of its powers and duties hereunder, except to the extent any such liabilities result from the negligence or willful misconduct of the Trustee. If the Corporation shall fail to make any payment required by this Section, the Trustee may make such payments from any moneys in its possession under the provisions of this Master Trust Agreement and shall be entitled to a preference therefor over any of the Obligations Outstanding hereunder.
