Compensation and Nominating Committees. In connection with M▇. ▇▇▇▇▇▇▇’▇ resignation from the Board, the Board shall take all actions necessary to appoint M▇. ▇▇▇▇▇▇▇▇▇▇ as a member of the Compensation Committee, and M▇. ▇▇▇▇▇▇▇▇▇▇ shall continue to serve as a member of the Nominating Committee. In each case, M▇. ▇▇▇▇▇▇▇▇▇▇ will serve on such committees during the Standstill Period, unless he ceases to satisfy the applicable Independence Conditions, and after the Standstill Period at the discretion of the Board.
