Common use of Compensation and Payment Terms Clause in Contracts

Compensation and Payment Terms. (a) Contractor’s fees for the Services shall be calculated at the rate(s) set forth in Exhibit “A” attached hereto. The Maximum Compensation to Contractor for the Services performed under this Agreement is Seven Hundred Thirty-Seven Thousand, Five Hundred Dollars and no/100 ($737,500.00). In no event shall the amount paid by County to Contractor under this Agreement exceed said Maximum Compensation without an approved change order. (b) Contractor understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Contractor based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning Department, one (1) electronic (pdf) copy of the invoice(s) showing the amounts due for services performed in a form acceptable to County. County shall review such invoice(s) and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirty

County shall review such invoice(s) invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirtythirty (30) calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

In no event shall the amount paid by County to Contractor Engineer under this Agreement exceed said Maximum Compensation without an approved change order. (b) Contractor Engineer understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Contractor Engineer based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor Engineer shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning DepartmentCounty Engineer, one (1) electronic (pdf) copy of the invoice(s) invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoice(s) invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirtythirty (30) calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

The Maximum Compensation to Contractor GETI for the Services performed under this Agreement is Eighty-Nine Thousand, Seven Hundred ThirtyNinety-Seven Thousand, Five Hundred One and 00/100 Dollars and no/100 ($737,500.0089,791.00). In no event shall the amount paid by County to Contractor GETI under this Agreement exceed said Maximum Compensation without an approved change order. (b) Contractor ▇▇▇▇ understands and agrees that the Maximum Compensation stated is an all-all- inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Contractor GETI based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor GETI shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning DepartmentPlanning, one one (1) electronic (pdf) copy of the invoice(s) invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoice(s) invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirtythirty (30} calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

The Maximum Compensation to Contractor Consultant for the Services performed under this Agreement is Seven One Hundred ThirtyNinety-Six Thousand Six Hundred Ninety-Seven Thousand, Five Hundred and 70/100 Dollars and no/100 ($737,500.00196,697.70). In no event shall the amount paid by County to Contractor Consultant under this Agreement exceed said Maximum Compensation without an approved change order. (b) Contractor Consultant understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Contractor Consultant based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor Consultant shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning DepartmentCounty Consultant, one (1) electronic (pdf) copy of the invoice(s) invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoice(s) invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirtythirty (30} calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

(b) Contractor understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit Attachment “A.B.” (c) County will pay Contractor based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning DepartmentCounty Engineer, one (1) electronic (pdf) copy of the invoice(s) invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoice(s) invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirtythirty (30} calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

In no event shall the amount paid by County to Contractor under this Agreement exceed said Maximum Compensation without an approved change order. (b) Contractor understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “Attachment "A.”" (c) County will pay Contractor based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Contractor shall submit to County staff person designated by the County’s Director of the Facilities Management and Planning DepartmentCounty Engineer, one (1) electronic (pdf) copy of the invoice(s) invoice showing the amounts due for services performed in a form acceptable to County. In no event shall the amount paid by County to Contractor Consultant under this Agreement exceed said Maximum Compensation without an approved change order.
