Common use of Compensation and Payment Terms Clause in Contracts

Compensation and Payment Terms. (a) Engineer’s fees for the Services shall be calculated at the rate(s) set forth in Exhibit A attached hereto. The Maximum Compensation to Engineer for the Services performed under this Agreement is Two Hundred Forty Eight Thousand Seven Hundred Ninety and 00/100 Dollars ($248,790.00). In no event shall the amount paid by County to Engineer under this Agreement exceed said Maximum Compensation without an approved change order. (b) Engineer understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit A. (c) County will pay Engineer based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Engineer shall submit to County staff person designated by the County Engineer, one (1) electronic (pdf) copy of the invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirty (30} calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.

In no event shall the amount paid by County to Engineer Consultant under this Agreement exceed said Maximum Compensation without an approved change order. (b) Engineer Consultant understands and agrees that the Maximum Compensation stated is an all-inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Engineer Consultant based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Engineer Consultant shall submit to County staff person designated by the County EngineerConsultant, one (1) electronic (pdf) copy of the invoice showing the amounts due for services performed in a form acceptable to County. The Maximum Compensation to Engineer PAS for the Services performed under this Agreement is Two One Million Four Hundred Forty Eight Thirty Three Thousand Seven Hundred Ninety Fifty and 00/100 Dollars ($248,790.001,433,750.00). In no event shall the amount paid by County to Engineer PAS under this Agreement exceed said Maximum Compensation without an approved change order. (ba) Engineer PAS understands and agrees that the Maximum Compensation stated is an all-all- inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (cb) County will pay Engineer PAS based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Engineer PAS shall submit to County staff person designated by the County Engineer, one (1) electronic (pdf) copy of the invoice showing the amounts due for services performed in a form acceptable to County. PAS shall submit invoices no more frequently than on a monthly basis. County shall review such invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing. County shall pay each such approved invoice within thirty (30} calendar days. County reserves the right to withhold payment pending verification of satisfactory work performed.thirty

The Maximum Compensation to Engineer GETI for the Services performed under this Agreement is Seven Thousand Two Hundred Forty Eight Thousand Seven Hundred Ninety Seventy Five and 00/100 Dollars ($248,790.007,275.00). In no event shall the amount paid by County to Engineer GETI under this Agreement exceed said Maximum Compensation without an approved change order. (b) Engineer ▇▇▇▇ understands and agrees that the Maximum Compensation stated is an all-all- inclusive amount and no additional fee, cost or reimbursed expense shall be added whatsoever to the fees stated in the attached Exhibit “A.” (c) County will pay Engineer GETI based on the following procedures: Upon completion of the tasks identified in the Scope of Services, Engineer GETI shall submit to County staff person designated by the County Engineer, one (1) electronic (pdf) copy of the invoice showing the amounts due for services performed in a form acceptable to County. County shall review such invoices and approve them within 30 calendar days with such modifications as are consistent with this Agreement and forward same to the Auditor for processing.
