Compensatory Arrangements. Such Member is not party to, or bound by, any compensatory arrangement, whether written or oral, with any Person who will be an employee or contractor of Buyer and/or its Affiliates following the Closing, including such arrangements whereby such Member will pay over any portion of the Purchase Price received by such Member to such Persons.
