Completeness and Accuracy. All information set forth on any Schedule hereto is true, correct and complete. No representation or warranty of the Company contained in this Agreement contains any untrue statement of material fact, or omits to state any material fact necessary to make the statement made therein not misleading; there is no known fact, development or threatened development that the Company has not disclosed to Buyer that materially adversely affects or may so affect the Business or the assets of the Company and its Subsidiaries.
