COMPLIANCE WITH ETHICAL BUSINESS PRACTICES. Grantee represents, warrant and covenant, as of the Date of this Agreement and as of each date that an invoice for Services or related expenses is submitted to Society, as follows. (a) COMPLIANCE WITH ANTI-CORRUPTION LAWS. Grantee will at all times comply with all applicable laws and regulations governing bribery, money laundering, and other corrupt practices, included in the United States Foreign Corrupt Practices Act, the UK Bribery Act, and any laws that have similar global application. Neither Grantee nor any of Grantee’s officers, directors, employees, associates, subcontractors, representatives or agents, nor anyone else acting on Principal Investigator’s behalf will, directly or indirectly, offer, give, pay, promise to pay, or authorize the payment of any bribes, kickbacks, influence payments, or other unlawful or improper inducements, in whatever form (including gifts, travel, entertainment, contributions, or anything else of value), to any public official, commercial counterparty, or other recipient. Principal Investigator will ensure that any person who will perform the Services is aware of and complies with the obligations of this sub-paragraph.
