Compliance with Filing Requirements. The Company has filed all reports, schedules, forms, statements, exhibits and other documents required to be filed by it with the securities commissions or other applicable provincial and national securities regulatory authorities, including the TSX and NASDAQ. As of the date of the Filings, such Filings, as they may have been subsequently amended by Filings made by the Company with applicable Canadian securities regulatory authorities, the Securities and Exchange Commission or the TSX or NASDAQ prior to the date hereof, complied in all material respects with the requirements of applicable securities Laws applicable to the Filings. None of the Filings, as of the date filed and as they may have been subsequently amended by filings made by the Company with the applicable securities regulatory authority prior to the date hereof, contained any untrue statement of a material fact or omitted to state a material fact required to be stated therein or necessary in order to make the statements therein, in the light of the circumstances under which they were made, not misleading.
