COMPLIANCE WITH GE POLICIES. 8.1 You agree to use all commercially reasonable efforts to ensure that any of Your Personnel who provide Services on GE’s premises comply with GE’s standard and site-specific safety, security and drug use policies that GE communicates to Your Personnel. You shall exercise all commercially reasonable efforts to assure that none of Your Personnel pose a threat to the safe working environment at the GE site, or a threat to the integrity of the business operations. At GE’s request, you agree to replace any of Your Personnel who fail to comply with GE’s standard and site specific policies. 8.2 You acknowledge that you have read and understand the GE Integrity Guide for Suppliers, Contractors and Consultants, which may be updated or modified by GE from time to time (the “Guide”) located at the following Internet address ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/html/SuppliersIntegrityGuide.htm. You agree to fully comply with all relevant requirements of the Guide with regard to provision of Products, Services, and Deliverables. Without limitation, the Parties mutually acknowledge that failure to comply with this provision shall be deemed a material breach incapable of cure. 8.3 To the extent permissible by applicable law, you shall, through the utilization of an authorized background checking agency, perform background checks (as set out in GE’s Background Checking Guidelines located at ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/html/GEPolicies.htm)prior to (i) stationing any of Your Personnel to perform Services at any GE location, facility or work site (for purpose of clarity, “stationing” shall not include periodic attendance or visits to such locations, facilities or work sites); (ii) granting access to GE networks (such as having a GE issued single sign-on account) to Your Personnel to provide the Services; (iii) assigning Your Personnel to duties that are directly related to the safe operation or security of a GE facility or piece of equipment and which, if not performed properly, could cause a serious environmental, health or safety hazard to employees or the general public; or (iv) assigning Your Personnel to a GE worksite that is designated in its entirety as “security sensitive,” even though the work responsibilities, if performed in another context, would not be security sensitive; and after securing appropriate written authorization from Your Personnel. 8.4 You acknowledge that this PO may be subject to US government flow down requirements (available at ▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/ht...
COMPLIANCE WITH GE POLICIES. Shall comply with, and shall replace any SP Personnel who fail to comply with, all applicable GE policies, procedures, licenses and governance matters including, without limitation, (i) GE’s safety, security, drug use and drug testing policies; (ii) applicable licenses, policies, procedures, governance matters if SP or SP Personnel are provided access to GE or GE- contracted facilities, premises, systems, content, software or equipment; and (iii) The policies located at w▇▇.▇▇▇▇▇▇▇▇▇▇.▇▇▇/▇▇▇▇/▇▇▇▇▇▇▇▇▇▇.▇▇▇, including, the GE Integrity Guide and as applicable, Supplier Travel and Expense Policy, GE Privacy and Data Protection Appendix (PDP), European Union Standard Data Privacy Clauses, Protected Health Information Agreement, Product Cybersecurity Appendix, GE Background Checking Guidelines and US Government Flowdown Provisions (if identified in the applicable SOW)/GE Power & Water Government Acquisition of Commercial Items Appendix (if identified in the applicable SOW). COMPLIANCE WITH GE POLICIES. 10.1 ARCA and its Service Providers will supply and review with all ARCA and Service Provider personnel who provide Services under this Agreement a copy of GE’s Integrity Guide for Suppliers (Schedule 10.1), and will cause all such ARCA and Service Provider personnel to comply with such policies to the extent that such policies are applicable to the activities conducted by ARCA and its Service Provider personnel in performing the Services.

  • Compliance with Policies Each Individual Limited Partner hereby agrees that he shall comply with all policies and procedures adopted by any member of the Och-Ziff Group or which Limited Partners are required to observe by law, or by any recognized stock exchange, or other regulatory body or authority.

  • Compliance with OFAC None of the Company and its Subsidiaries or, to the Company’s knowledge, any director, officer, agent, employee or affiliate of the Company and its Subsidiaries or any other person acting on behalf of the Company and its Subsidiaries, is currently subject to any U.S. sanctions administered by the Office of Foreign Assets Control of the U.S. Department of the Treasury (“OFAC”), and the Company will not, directly or indirectly, use the proceeds of the Offering hereunder, or lend, contribute or otherwise make available such proceeds to any subsidiary, joint venture partner or other person or entity, for the purpose of financing the activities of any person currently subject to any U.S. sanctions administered by OFAC.

  • Compliance with FCPA Each of the Credit Parties and their Subsidiaries is in compliance with the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq., and any foreign counterpart thereto. None of the Credit Parties or their Subsidiaries has made a payment, offering, or promise to pay, or authorized the payment of, money or anything of value (a) in order to assist in obtaining or retaining business for or with, or directing business to, any foreign official, foreign political party, party official or candidate for foreign political office, (b) to a foreign official, foreign political party or party official or any candidate for foreign political office, and (c) with the intent to induce the recipient to misuse his or her official position to direct business wrongfully to such Credit Party or its Subsidiary or to any other Person, in violation of the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq.

  • Compliance with ▇▇▇▇▇ ▇▇▇▇▇ and Related Act requirements. All rulings and interpretations of the ▇▇▇▇▇- ▇▇▇▇▇ and Related Acts contained in 29 CFR parts 1, 3, and 5 are herein incorporated by reference in this contract.

  • Compliance with Orders Neither the Company nor any of its subsidiaries is in violation of any material judgment, decree, or order of any court, arbitrator or other governmental authority.
