COMPLIANCE WITH OTHER APPLICABLE LAWS. Bracknell and its Subsidiaries have in effect all Permits necessary for them to own, lease or operate the properties and assets of Bracknell and its Subsidiaries and to carry on the Business as now conducted, and 42 44 there has not occurred any default under any Permit, except for the absence of Permits and for defaults under Permits that have not had a Bracknell Material Adverse Effect. Bracknell and its Subsidiaries are in compliance with all Other Applicable Law, except where failure to so comply would not have a Bracknell Material Adverse Effect. Except as set forth in Schedule 5.13, no investigation or review by any Governmental Authority with respect to Bracknell or any of its Subsidiaries is pending, or to Bracknell's Knowledge, threatened.
