Compliance with the Provisions of Code Section 409A. Notwithstanding anything in this Agreement to the contrary, any payment under this Agreement to Executive shall be deferred, if necessary, until the first date that such payment could be made without subjecting Executive to taxes imposed by reason of Code Section 409A.
