Common use of Compliance with the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act Clause in Contracts

Compliance with the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act. The Company and its Subsidiaries, officers and directors, in their capacities as such, are and have been, since the time they were required to comply, in compliance with the S▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002, as amended and the rules and regulations promulgated in connection therewith (the “S▇▇▇▇▇▇▇-▇▇▇▇▇ Act”), including but not limited to, Section 402 related to loans and Section 302 and Section 906 related to certifications and all applicable rules of the Nasdaq, to the extent that such compliance is required prior to the effectiveness of the Registration Statement.
