Common use of Condition of Purchased Assets Clause in Contracts

Condition of Purchased Assets. Except as set forth on Schedule A and Schedule 2.1 to the Disclosure Letter, (a) all of the properties and assets, owned, leased or utilized in connection with the operation of each System, whether real, personal or mixed, including without limitation the Purchased Assets are in good condition and repair, ordinary wear and tear excepted, are in good operating order and are fit for the purposes for which they are used and are intended to be used, are in conformity with the manufacturers' specifications (including the ability to perform the functions for which it was designed), and are in compliance with all applicable Governmental Rules (including without limitation the Communications Act); and (b) to the best knowledge of the Equipment Owner, the License applicable to each System is valid and in good standing with the FCC, there is no current event or condition which could cause the revocation by the FCC of the License relating to the System, and there are no liens, claims or encumbrances thereon.
