Common use of Condition Precedent to Seller’s Obligations Clause in Contracts

Condition Precedent to Seller’s Obligations. The obligation of Seller to consummate the transaction contemplated by this Agreement shall be subject to the fulfillment of the following conditions, which may be waived in writing by Seller: 5.2.1. The representations and warranties made in this Agreement by the Company shall be true and correct in all respects on the Closing Date as fully as though such representations and warranties had been made on and as of the Closing Date. 5.2.2. ▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and the Company shall have executed a stock repurchase agreement providing for the purchase by the Company of 500,000 shares of the Company's issued and outstanding common stock owned by ▇▇▇▇▇ ▇▇▇▇▇▇▇▇. 5.2.3. No temporary restraining order, preliminary or permanent injunction or other order issued by any court of competent jurisdiction or other legal restraint or prohibition preventing the consummation of the transaction contemplated by this Agreement shall be in effect and no action seeking such relief shall be pending.
