Condition Precedents. The Financial Services Agreement is conditional upon: (a) approval by the Independent Shareholders at the SGM; (b) approval by the Board, and the board of directors of Founder Finance and Peking Founder; (c) a PRC legal opinion on the legality of the Financial Services Agreement, issued by a reputable PRC law firm to the satisfaction of the Company; and (d) any other relevant approvals as may be required for the Financial Services Agreement to take effect.
