Common use of Condition Survey Clause in Contracts

Condition Survey. The Contractor agrees that on the service of a Termination Notice or at least 6 (six) months prior to the expiry of the Contract Period, as the case may be, it shall conduct or cause to be conducted under the Authority’s supervision, a condition survey of the Project Site to ascertain the condition thereof, verifying compliance with the Contractor’s obligations under this Contract. During this period, the designated key personnel of the Authority shall be associated with the Scope of Work (except when the same is impossible due to a Force Majeure Event) in order to facilitate smooth takeover of the same by the Authority on the Handover Date. If, as a result of the condition survey, the Authority shall observe/notice that the Project Site a or any part thereof have/has not been operated and maintained in accordance with the requirements therefor under this the Contractor shall, at its cost and expenses, take all necessary steps to put the same in good working conditions well before the Handover Date. In the event the Contractor fails to comply with the provisions of this Contract, the Authority may itself cause the condition survey of the Project Site to be conducted. The Authority shall be compensated by the Contractor for any costs incurred in conducting such survey and preparation of inventory as also in putting the Project Site in good working condition.

If, as a result of the condition survey, the Authority shall observe/notice that the Project Site a Assets and/or the Project or any part thereof have/has not been operated and maintained in accordance with the requirements therefor therefore under this Agreement (normal wear and tear excepted) the Contractor Licensee shall, at its cost and expenses, take all necessary steps to put the same in good working conditions in light of the life of the relevant Project Facility well before the Handover Transfer Date. . c) In the event the Contractor Licensee fails to comply with the provisions of this Contractsub clause (a) and (b) above, the Authority may itself cause the condition survey and inventory of Project Assets and the Project Site to be conducted. The Authority shall be compensated by the Contractor Licensee for any costs incurred in conducting such survey and preparation of inventory as also in putting the Project Site and the Project Assets in good working condition.
