Common use of Condition to the Closing Clause in Contracts

Condition to the Closing. In addition to the closing deliverables set forth in Article VI below, the Parties acknowledge and agree that the following shall have occurred as a condition to the Closing: (a) each of the conditions (or closing deliverables) to the consummation of the Initial Closing (as defined in the Purchaser Series A Purchase Agreement) shall have been satisfied or waived and the Purchaser and the investors that will be party to the Purchaser Series A Purchase Agreement shall be ready, willing and able to enter into the Purchaser Series A Purchase Agreement and consummate the Initial Closing immediately after the Closing on the terms and conditions set forth therein; and (b) each of the conditions (or closing deliverables) to the consummation of the Closing (as defined in the Zomagen Purchase Agreement) shall have been satisfied or waived and the Purchaser, Zomagen and the other persons that will be party to the Zomagen Purchase Agreement shall be ready, willing and able to enter into the Zomagen Purchase Agreement and consummate the Closing (as defined in the Zomagen Purchase Agreement) at the same time as (or substantially the same time as) the Closing on the terms and conditions set forth therein.
