Common use of Conditions Affecting the Sellers Clause in Contracts

Conditions Affecting the Sellers. Except as provided in this Agreement or disclosed in the Schedules, and except for conditions that affect as a whole the oil field servicing industry generally, there is no fact known to the Sellers which may reasonably be expected to materially adversely affect the Business considered as a whole. Notwithstanding the foregoing, the Sellers and the Seller Shareholders shall not be deemed to have made to Purchaser or DPS any representation or warranty other than as expressly made in this Article II. Without limiting the generality of the foregoing, the Sellers and the Seller Shareholders make no representations or warranties to Purchaser or DPS with respect to (i) any projections, estimates or budgets heretofore delivered to or made available to Purchaser or DPS of future revenues, expenses or expenditures or future results of operations; or
