Conditions for Contract Extension. This Agreement may be extended for an additional 120-day (one hundred twenty days) period by action of the San Benito County Board of Supervisors. Thirty days prior to the expiration of this Agreement, CONTRACTOR may petition the Board for a 120-day extension.
A. In deciding whether or not to extend the Agreement of COUNTY, at its discretion, may establish a Review Committee to analyze the performance of the CONTRACTOR and to make recommendations to the Contract Administrator.
B. The Committee's review will consider, but not be limited to, how well the CONTRACTOR has performed in the following areas:
1. Compliance with this Agreement;
2. Operational and financial areas;
3. Effectiveness of CONTRACTOR's quality improvement program in achieving demonstrable improvements in the performance and efficiency of the system;
4. Cooperation of management in assisting the EMS Agency with system operation andenhancements;
5. Number of substantiated complaints filed against CONTRACTOR and the manner in which CONTRACTOR handled them;
6. Extent of CONTRACTOR's community involvement;
7. Consistency in maintaining and/or improving its professional image;
8. Integration of community and employee input;
9. Level of cooperation between the CONTRACTOR and other participants within the EMSSystem.
Conditions for Contract Extension. This Agreement may be extended for an additional period of up to five years by action of the Northern California Emergency Medical Services, Inc. Board of Directors. At least one year prior to the expiration of this Agreement, SEMSA may petition NOR-CAL for a five-year extension.
A. In deciding whether or not to extend the Agreement, NOR-CAL, at its discretion, may establish a Review Committee to analyze SEMSA’s performance and to make recommendations to the Contract Administrator.
B. The Committee’s review will consider, but not be limited to, how well SEMSA has performed in the following areas:
1. Compliance with the terms of its contract with Nor-Cal EMS;
2. Operational and financial areas;
3. Effectiveness of SEMSA’s quality improvement program in identifying opportunities for improvement and achieving demonstrable improvements in those areas;
4. Cooperation of management in assisting Nor-Cal EMS with system operation and enhancements;
5. Number of substantiated complaints filed against the SEMSA and the manner in which ▇▇▇▇▇ handled them;
6. Consistency in maintaining and/or improving its professional image;
7. Level of cooperation between SEMSA and other participants within the EMS System.
