Conditions of Each Party’s Obligations. The obligations of the parties under this Agreement are subject to the satisfaction, on or before the Closing Date, of the following conditions, any of which may be waived in writing by the Company or the Purchaser, as applicable, in its sole discretion: (a) No Governmental Order or other Law preventing or making illegal the consummation of the transactions contemplated under this Agreement shall be in effect.
