CONDITIONS OF LEASE. That the Lessor shall handover encumbrance free, unrestricted, absolute, vacant possession of the Scheduled Property to the Lessee situated at Mylavarm Mandal of Kadapa District, Andhra Pradesh. If any dispute arises in respect of lease hold rights of Lessee during the currency of the agreement, APSPCL is responsible to resolve the same. That the Lessee shall acknowledge that the Lessor has handed over unrestricted, absolute, vacant physical possession of the Scheduled Property. That the Lessee shall use the Scheduled Property for Solar power project only and shall not use or sub-lease this lease except for the said purpose mentioned under this Land Lease Agreement. That the Lessee shall not use or allow to be used the land/or the structure thereon or any part thereof for any purpose other than Solar power generation or activities connected or incidental thereto. That the Lessee shall provide the required fire-fighting arrangements as per the requirements of such power plants/facilities/buildings. That the Lessee shall ensure that the usage of land/or the structure thereon or any part thereof and any alterations/additions to buildings/structures will not create problems to neighbouring solar power plants. That the Lessee shall comply with all the statutory requirements of Central/State Govt. agencies required for erection and successful commercial operation of the solar power project. That the Lessee shall be entitled to use the Scheduled property for establishment of --- MWp Capacity Solar Power Project and carry on the activity of electricity generation from such Solar Power Project. The Lessee shall have the sole and exclusive ownership to anything installed (movable or fixed) on the Scheduled Property during the tenure of the lease). That the Lessee hereby agrees that they shall not do any act, which is destructive or permanently injurious to the Scheduled Property and degrades its commercial value. That the Lessee agree to maintain the said Scheduled Property in a clean and sanitary condition to the satisfaction of the Lessor and shall also maintain the structures, if any, erected thereon as aforesaid, in good, and substantial repair to the satisfaction of Lessor. That the Lessee shall permit the authorised officials of Lessor at all times to enter upon the scheduled Property aforesaid to view the condition and state thereof. That the Lessee shall follow the instructions given by the competent authority/ Revenue Department/ Lessor from time to time. The Natural drains if any existing in the land should not be disturbed and be allowed to continue their natural course. However, if required the Lessee can realign the Natural course of the drain within the plot but it has to be joined with the Natural course of the drain at the boundary of the plot. In cases where solar project ownership changes, the land (demised premises) will continue to be provided for the project at the same terms and conditions. In case where project is dismantled or is abandoned or is discontinued for power generation, SPPD will have the right to take back the land from the SPD. In such case 50% of the Onetime Solar Park Development Expenses paid by the SPD will be forfeited and remaining 50% will be adjusted on pro-rata basis based on the date when the land is taken back.

CONDITIONS OF LEASE. That (a) Lessee shall install, maintain, repair, operate, and remove its Equipment during the Lessor shall handover encumbrance freeterm of this Agreement in compliance with recognized industry standards, unrestrictedand will comply with the requirements of any insurance carrier for the CO2 Facility and with all present and future rules and regulations imposed by any local, absolutestate, vacant possession or federal authority having jurisdiction with respect thereto (including, without limitation, the rules and regulations of the Scheduled Property to the Lessee situated at Mylavarm Mandal of Kadapa DistrictOSHA, Andhra Pradesh. If any dispute arises in respect of lease hold rights of Lessee during the currency EPA, DNR, if applicable).
(b) Upon completion of the agreementinstallation of the Equipment and prior to conducting any business from within the CO2 Facility, APSPCL is responsible to resolve the same. That the Lessee shall acknowledge that provide Lessor with “as built” Plans showing the Lessor has handed over unrestrictedlocation of all Equipment, absoluteincluding all cables and conduit.
(c) All work performed at the Site and/or the CO2 Facility in connection with the installation, vacant physical possession modification, change, and removal of the Scheduled PropertyLessee’s Equipment shall be performed at Lessee’s sole cost and expense in a good, safe and workmanlike manner. That the All contractors and subcontractors shall be leased, bonded and insured. Lessee shall use maintain workmen’s compensation insurance in form and amount as is required by law during all such periods of construction and work.
(d) Lessee shall not use, generate, store or dispose of any Hazardous Substances in or around the Scheduled Property for Solar power project only CO2 Facility except in compliance with applicable environmental laws, rules, ordinances, regulations, or rulings nor cause or permit to occur any violation of any environmental law and shall not permit its employees, agents, contractors or invitees to violate any environmental laws. If Lessor, any authority or any third party demands that a clean-up plan be prepared and that a clean-up be undertaken because of any deposit, spill, discharge, or other release of Hazardous Substances in violation of applicable environmental laws, rules, ordinances, regulations or rulings that occurs as a result of Lessee’s use or suboccupancy of the Site, then Lessee shall, at Lessee’s own expense, prepare and submit the required plans and all related bonds and other financial assurances, and Lessee shall carry out all such clean-lease this lease except for up plans following their approval by Lessor and all applicable authorities. Lessee shall promptly provide all information regarding the said purpose mentioned use, generation, storage, transportation, or disposal of Hazardous Substances that is requested by Lessor. If Lessee fails to fulfill any duty imposed under this Land Lease Agreement. That the Lessee shall not use Section 5(d) within ten (10) days (or allow to be used the land/or the structure thereon or such shorter time dictated by any part thereof for any purpose other than Solar power generation or activities connected or incidental thereto. That the Lessee shall provide the required fire-fighting arrangements as per the requirements event of such power plants/facilities/buildings. That the Lessee shall be entitled to use the Scheduled property responsible for establishment of --- MWp Capacity Solar Power Project and carry on the activity of electricity generation from such Solar Power Project. The Lessee shall have the sole and exclusive ownership to anything installed (movable or fixed) on the Scheduled Property during the tenure of the lease). That the Lessee hereby agrees that they shall not do any act, which is destructive or permanently injurious to the Scheduled Property and degrades its commercial value. That the Lessee agree to maintain the said Scheduled Property in a clean and sanitary condition to the satisfaction of the Lessor and shall also maintain the structurescosts thereof, if any, erected thereon as aforesaid; and, in goodsuch case, Lessee shall cooperate with Lessor in order to prepare all documents necessary or appropriate to determine the applicability of the environmental laws to the Site and Lessee’s use thereof, and substantial repair to the satisfaction of Lessor. That the for compliance therewith, and Lessee shall permit the authorised officials execute all documents promptly upon Lessor’s request. No such action by Lessor and no attempt made by Lessor to mitigate damages under any environmental law shall constitute a waiver of Lessor at all times to enter upon the scheduled Property aforesaid to view the condition any of Lessee’s obligations under this Section 5(d).
