CONDITIONS OF SETTLEMENT, EFFECT OF DISAPPROVAL, CANCELLATION OR TERMINATION. 10.1 The Effective Date of the settlement shall be conditioned on the occurrence of all of the following events: a) Defendants have not exercised their option to terminate the Settlement Agreement pursuant to ¶ 4.3, b) the Court has entered the Judgment approving the settlement and certification of the Class as set forth herein; and
