Conditions precedent documents. (a) The Lenders will only be obliged to comply with Clause 5.3 (Advance of Loan) in relation to any Loan if, on or before the Utilisation Date for that Loan, the Facility Agent has notified the Company, the Issuing Bank and the Lenders that it has received (or, with the consent of the Lenders, waived receipt of) all of the documents and evidence set out in Part 1 of Schedule 2 (Conditions precedent documents) in form and substance satisfactory to the Facility Agent. (b) The Facility Agent must give this notification to the Company and the Lenders promptly upon being so satisfied.
