Common use of Conditions Precedent Satisfied Clause in Contracts

Conditions Precedent Satisfied. The Issuer hereby represents and warrants to each Lender and the Indenture Trustee that, as of the Issuance Date each of the conditions precedent set forth in the Base Indenture, including those conditions precedent set forth in Section 6.10(b) of the Base Indenture and Article XII thereof, as applicable, to the issuance of the Series 2023-FTL1 Promissory Term Notes and each of the conditions precedent set forth in Schedule I hereto have been satisfied or waived in accordance with the terms thereof.
